Terms of Service

These Terms of Service ("Terms") are a binding agreement between you and SocialMynt Technologies Inc. ("SocialMynt", "we", "us"). By creating an account, accessing, or using our website, marketplace, dashboard, APIs, or any related service (together, the "Service"), you agree to be bound by these Terms. If you do not agree, do not use the Service.
This page describes SocialMynt in general terms. Because SocialMynt is currently in early access, some features shown on our marketing site are illustrative and subject to change. The definitive terms controlling your account are those you accept at sign-up.
1. Eligibility & accounts
You must be at least 18 years old (or the age of majority in your jurisdiction) and able to form a binding contract. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. Notify us immediately of any suspected unauthorized use.
2. Roles on the marketplace
- Creators / affiliates / marketers browse and apply to opportunities posted by brands.
- Brands post campaigns, review applicants, approve partnerships, and fund payouts.
SocialMynt operates the platform that facilitates these arrangements. Except where expressly stated, SocialMynt is not a party to any agreement between a creator and a brand and does not guarantee the performance, deliverables, or payment of either party.
3. Campaigns, applications & content
Brands are responsible for the accuracy of any campaign brief they publish. Creators are responsible for the content they submit and must clearly disclose paid or sponsored relationships in accordance with the FTC Endorsement Guides, ASA CAP Code, and any other applicable law in their audience's jurisdiction. You retain ownership of content you create; by uploading it you grant SocialMynt a limited license to host, display, and route it to the applicable brand for the campaign.
4. Fees & payouts
SocialMynt may charge platform fees to brands and, where disclosed at sign-up, processing fees to creators. Payouts are made through third-party payment processors and are subject to their terms, KYC/AML checks, and applicable holds. Any earnings numbers, testimonials, or "instant payout" timings referenced on marketing pages are examples of past performance and not a guarantee of future results.
5. Acceptable use
- No fraudulent traffic, bots, click farms, or fake engagement.
- No illegal, deceptive, defamatory, or infringing content.
- No attempts to reverse-engineer, scrape at scale, or disrupt the Service.
- No circumventing the platform to avoid fees or take partnerships off-platform without authorization.
6. Intellectual property
SocialMynt, our logos, and all Service software and content are owned by SocialMynt or our licensors and protected by intellectual-property laws. Nothing in these Terms transfers ownership to you.
7. Disclaimers
The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement, to the fullest extent permitted by law.
8. Limitation of liability
To the maximum extent permitted by law, SocialMynt will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill. Our aggregate liability for any claim arising out of or relating to the Service is limited to the greater of (a) amounts you paid us in the 12 months before the claim, or (b) US $100.
9. Termination
You may close your account at any time. We may suspend or terminate access for violation of these Terms, suspected fraud, or to comply with law. Sections that by their nature should survive termination will survive.
10. Changes
We may update these Terms. If we make material changes we will provide reasonable notice (e.g., in-product notice or email). Continued use after changes take effect constitutes acceptance.
11. Governing law
These Terms are governed by the laws of the State of Delaware, USA, without regard to its conflict-of-laws rules. Venue for any dispute is the state and federal courts located in Delaware, unless applicable consumer law grants you additional rights.
